Billing and Payment

GVS, LLC bills for the Service in annual increments. Payment for the Service is executed via Google Checkout http://checkout.google.com. The terms of your transaction are governed by those of Google Checkout http://checkout.google.com/termsOfService?=type=Buyer. GVS, LLC does not auto-renew your service. It is your responsibility to renew your service, if desired. GVS, LLC may send you an email reminder or direct you to the AdBarricade page when your service expires, then offering you an option to renew or remove the Service.

Termination

GVS, LLC may terminate your access to all or any part of the Site or Service at any time, with or without cause, with or without notice, and with or without a full or partial refund. If you wish to terminate these Terms of Use, you may simply remove the AdBarricade DNS servers from your system. For additional help in removing the Service from your system, see http://www.AdBarricade.com/remove.pl. All provisions of the Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Liability Limitation

GVS, LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with GVS, LLC in asserting any available defenses.

Use outside of the Commonwealth of Virginia

GVS, LLC makes no representation that the Service is available for legal use in locations outside of the Commonwealth of Virginia, and accessing the Service from territories where such content is illegal is forbidden. If you access the Service from locations outside of Virginia, you do so on your own volition and are responsible for compliance with local laws.

Dispute Resolution

You and GVS, LLC agree that any cause of action arising out of or related to the Service must commence within twelve (12) months after the cause of action arose; otherwise, such cause of action is permanently barred. These Terms of Use shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, excluding its conflicts of law rules, and the United States of America. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms of Use or your use of this Site or Services shall be filed only in the state or federal courts located in Loudoun County, Virginia and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action. Use of the Service is not authorized in any jurisdiction that does not give effect to all provisions of these Terms of Use, including without limitation, this section.

Integration and Severability

These Terms of Use constitute the complete agreement between you and GVS, LLC with respect to the Service and use of this Site, and supersede all prior or contemporaneous communications and proposals (written, oral or electronic) between you and GVS, LLC. If any provision of the Terms of Use is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary so that the Terms of Use will otherwise remain in full effect and enforceable.

Miscellaneous

These Terms of Use and the Service contemplated hereunder are personal to you, and are not assignable, transferable or sub-licensable by you except with GVS, LLC's prior written consent. GVS, LLC may assign, transfer or delegate any of its rights and obligations hereunder without consent. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms of Use and neither party has any authority of any kind to bind the other in any respect. In any action or proceeding to enforce rights under these Terms of Use, the prevailing party will be entitled to recover costs and attorneys' fees.
